These Terms of Use ("Terms") govern your access to and use of the EstatePass platform, including the EstatePass dashboard at app.estatepass.co.uk, property portals accessible via QR codes, and our marketing website at estatepass.co.uk (collectively, the "Platform"), operated by EstatePass Ltd ("EstatePass", "we", "us", "our"), a limited company registered in England and Wales.
By accessing or using the Platform in any capacity, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Property managers who sign up for a paid account are subject to all sections of these Terms. Tenants and portal visitors who access a property portal via QR code are subject to sections 1, 4, 6, 7, 8 and 9. Website visitors are subject to sections 1, 6, 7, 8 and 9.
EstatePass provides a cloud-based property information and communications platform that enables property managers to:
We reserve the right to modify, suspend or discontinue any part of the Platform at any time. Where changes are material, we will provide reasonable notice to property manager account holders by email.
To access the EstatePass dashboard, property managers must register for an account. You agree to provide accurate, complete and current information during registration and to keep your account details up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
Access to the EstatePass dashboard is provided on a monthly rolling subscription basis. Fees are charged per property per month at the rate set out in your account or as otherwise agreed in writing.
You may cancel your subscription at any time by giving us written notice at [email protected]. Cancellation will take effect at the end of the current monthly billing period. No refunds are provided for partial months.
We may terminate your account immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.
As a property manager, you agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
Property portals are made available to tenants, occupiers, service partners and other authorised users by the property manager responsible for the relevant estate. Access is provided as a convenience and does not create any contractual relationship between EstatePass and the portal visitor.
Portal visitors must not attempt to circumvent any access controls, gain unauthorised access to restricted content, or use any information obtained from a portal for any purpose other than the legitimate management of their tenancy or occupancy.
Some portal content may be restricted to verified tenants. Tenant password credentials are set by the property manager and shared at their discretion. EstatePass accepts no responsibility for the distribution of tenant passwords.
You retain ownership of all content you upload to the Platform, including property information, documents, notices and contact details. By uploading content, you grant EstatePass a non-exclusive licence to store, process and display that content solely for the purpose of providing the Platform to you.
You are responsible for ensuring that any content you upload — including tenant contact data — complies with all applicable laws, including UK GDPR. You must have a lawful basis for processing any personal data you upload and must have appropriate agreements in place with your landlord clients where you are acting as a data processor.
Where EstatePass processes personal data on your behalf (for example, tenant contact details), we act as your data processor. Our Data Processing Agreement, which forms part of these Terms, sets out the basis on which we process that data.
We process all personal data in accordance with our Privacy Policy.
The Platform includes an optional AI-assisted copy feature ("Improve with AI") powered by Anthropic PBC. When you use this feature, the text you submit is processed by Anthropic in accordance with their terms of service. You must not submit any personal data, confidential information or special category data through the AI feature.
The EstatePass Platform, including its software, design, branding, trademarks and content created by us, is owned by or licensed to EstatePass Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You may not copy, reproduce, modify, distribute or create derivative works from any part of the Platform without our prior written consent, except as strictly necessary for your permitted use of the Platform.
We aim to provide a reliable and available Platform but do not guarantee uninterrupted or error-free access. We may carry out maintenance, updates or emergency fixes that temporarily affect availability. We will endeavour to provide reasonable advance notice of planned maintenance.
EstatePass provides a platform for property managers to share information. We do not verify the accuracy, completeness or legality of content uploaded by property managers. EstatePass accepts no responsibility for the content of property portals.
To the fullest extent permitted by law, EstatePass shall not be liable for:
Our total aggregate liability to you in connection with these Terms shall not exceed the total fees paid by you to EstatePass in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded by law.
The Platform may contain links to third-party websites or services. These are provided for convenience only. We have no control over the content or practices of third-party sites and accept no responsibility for them.
The Platform integrates with third-party services including Supabase, Resend, Anthropic and Vercel. Your use of these services is subject to their respective terms of service.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
These Terms, together with our Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and EstatePass in relation to your use of the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
We may update these Terms from time to time. Where changes are material, we will notify property manager account holders by email with at least 14 days' notice. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
